Terms of Service

Our terms and conditions

1. Agreement to Terms

By creating an account or using Eatgent (“the Service”), you agree to these Terms of Service (“Terms”). If you do not agree, do not use the Service. We may update these Terms from time to time; continued use after changes constitutes acceptance.

Eatgent is operated by Eatgent Software Inc. (“we,” “us,” or “our”).

2. The Service

Eatgent is an AI-powered dinner planning application that:

  • Builds a dietary profile based on your preferences, restrictions, and goals
  • Matches recipes to your profile using an AI-generated Fit Score (0-100)
  • Creates weekly meal plans you can customize
  • Generates grocery lists from your meal plan

3. Eligibility

You must be at least 16 years old to use Eatgent. By using the Service, you represent that you meet this requirement.

4. Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to:

  • Provide accurate and complete information when creating your account
  • Notify us promptly if you suspect unauthorized access to your account
  • Not share your account with others or create multiple accounts

We reserve the right to suspend or terminate accounts that violate these Terms.

5. Subscriptions and Billing

Plans and Pricing

Eatgent offers paid subscription plans billed on a monthly recurring basis. Current plans and pricing are displayed on our pricing page. We reserve the right to change pricing with 30 days’ notice.

Free Trial

If your plan includes a free trial, you will not be charged during the trial period. At the end of the trial, your subscription will automatically convert to a paid plan unless you cancel before the trial ends.

Payment

Payments are processed securely through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis. You are responsible for keeping your payment information current.

Cancellation

You may cancel your subscription at any time from your account settings. Upon cancellation:

  • Your access continues until the end of your current billing period
  • No refunds are provided for partial billing periods
  • Your data remains accessible until the end of the billing period, after which your account will be downgraded

Refunds

We do not offer refunds for subscription fees already charged. If you believe you were charged in error, contact us at support@eatgent.ai.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Attempt to gain unauthorized access to the Service or its systems
  • Interfere with or disrupt the Service or its infrastructure
  • Scrape, crawl, or use automated means to extract data from the Service
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Resell, redistribute, or sublicense access to the Service
  • Submit false, misleading, or harmful content
  • Use the Service to develop a competing product

7. AI-Generated Content and Disclaimers

Not Medical or Nutritional Advice

Eatgent is a meal planning convenience tool, not a healthcare service. The Service does not provide medical advice, nutritional counseling, or dietary treatment. AI-generated meal plans, Fit Scores, and recipe suggestions are for informational and convenience purposes only.

  • Always consult a qualified healthcare provider before making dietary changes related to medical conditions, allergies, or intolerances
  • Verify allergen information directly from recipe ingredients — while our AI considers your stated restrictions, it may not catch every allergen or cross-contamination risk
  • Fit Scores are estimates, not guarantees of nutritional suitability

AI Limitations

Our AI generates recommendations based on the information you provide and the recipes in our system. AI-generated content may contain errors, omissions, or inaccuracies. You are responsible for reviewing and verifying any recipe, meal plan, or grocery list before use.

8. Intellectual Property

Our Content

The Service, including its design, software, AI models, text, graphics, and branding, is owned by us or our licensors and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from our content without written permission.

Your Content

You retain ownership of any content you submit (such as feedback and dietary notes). By submitting content to the Service, you grant us a non-exclusive, worldwide, royalty-free license to use that content to provide and improve the Service.

Recipe Content

Recipes displayed in the Service may be sourced from third parties or generated by AI. We do not claim ownership of recipes themselves. Recipe presentation, scoring, and organization within the Service are our intellectual property.

9. Electronic Communications (CASL)

By creating an account, you consent to receive transactional and service-related electronic messages from us, including:

  • Account confirmations and password resets
  • Subscription and billing notifications
  • Service updates and changes that affect your account
  • Meal plan delivery and related notifications

These messages are necessary to provide the Service and are not considered commercial electronic messages under Canada’s Anti-Spam Legislation (CASL).

With your separate express consent, we may also send you promotional or marketing messages (such as feature announcements, tips, or offers). You may withdraw consent for marketing messages at any time by using the unsubscribe link in any marketing email or by contacting us at support@eatgent.ai. Withdrawing marketing consent does not affect service-related messages.

10. Privacy

Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and protect your personal information, including your dietary and health-related data.

11. Limitation of Liability

To the fullest extent permitted by law:

  • The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory
  • We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components
  • We disclaim all warranties of merchantability, fitness for a particular purpose, and non-infringement
  • We are not liable for any adverse health effects resulting from following AI-generated meal plans or recipes
  • Our total liability for any claim arising from your use of the Service is limited to the amount you paid us in the 12 months preceding the claim
  • We are not liable for any indirect, incidental, special, consequential, or punitive damages

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In those jurisdictions, our liability is limited to the greatest extent permitted by law.

12. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your violation of these Terms or your misuse of the Service.

13. Termination

We may suspend or terminate your access to the Service at any time if you violate these Terms or if we discontinue the Service. You may terminate your account at any time through your account settings.

Upon termination:

  • Your right to use the Service ceases immediately
  • We will delete your personal data in accordance with our Privacy Policy
  • Sections of these Terms that by their nature should survive termination will survive (including Limitation of Liability, Indemnification, and Governing Law)

14. Governing Law and Disputes

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of the Service will be resolved in the courts of the Province of British Columbia, and you consent to the exclusive jurisdiction of those courts. Nothing in these Terms limits your rights under applicable consumer protection legislation in your province or territory of residence.

15. General

  • Entire agreement: These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Eatgent
  • Severability: If any provision is found unenforceable, the remaining provisions remain in effect
  • Waiver: Our failure to enforce any provision does not waive our right to enforce it later
  • Assignment: You may not assign your rights under these Terms; we may assign ours in connection with a merger, acquisition, or sale of assets
